Terms & Conditions

Effective Date: April 2026

Welcome to Dynamisers Solutions Pvt Ltd! We maintain a transparent set of terms to ensure a professional and productive relationship. By using our website or services, you agree to the following:

1. Payment & Financial Terms

1. Payment Requirement: Any service priced below ₹15,000 requires full advance payment.
2. GST & Taxes: All prices quoted in proposals or on the website are exclusive of GST and other applicable government taxes unless explicitly stated otherwise.
3. Late Fees: Payments not received within 7 days of the invoice due date will incur a late fee of 2% per month on the outstanding balance.
4. Service Suspension: We reserve the right to suspend or "turn off" active services (including SEO management, Live Ad campaigns, or Website Hosting) if an invoice remains unpaid for more than 10 days. Dynamisers Solutions is not liable for any loss of traffic or revenue during this suspension.

2. AI Usage & "Hallucination" Clause

1. AI Content Accuracy: We may utilize Artificial Intelligence tools to enhance content, imagery, and code. The Client acknowledges that AI can occasionally produce "hallucinations" or factual inaccuracies.
2. Final Approval: It is the Client’s responsibility to review all deliverables. Dynamisers Solutions shall not be held liable for minor errors, factual inaccuracies, or "AI hallucinations" in content that has been approved (explicitly or tacitly) by the Client.

3. Non-Solicitation of Staff

1. Poaching Protection: The Client agrees not to, directly or indirectly, hire, solicit, or engage any employee or contractor of Dynamisers Solutions Pvt Ltd for their own business or any third party during the term of the agreement and for a period of 24 months following its termination.
2. Penalty: Violation of this clause will result in a recruitment/liquidated damages fee equal to 100% of the employee’s annual CTC.

4. Limitation of Liability

1. Liability Cap: To the maximum extent permitted by law, the total cumulative liability of Dynamisers Solutions Pvt Ltd for any claim arising out of or related to our services—whether in contract, tort, or otherwise—shall not exceed the total amount paid by the Client for the specific service that gave rise to the claim.
2. Indirect Damages: We are not liable for any lost profits, lost data, or any consequential, indirect, or incidental damages.

5. Refund & Cancellation

1. Refund Policy: If you cancel the agreement on the same day payment is made (and work has not commenced), a refund will be issued within 30 days. This is applicable to Indian customers only.
2. No Refunds: No installments or payments will be refunded after 1 calendar day. No refunds are provided for "quick tasks" or micro-projects completed within a few hours.

6. Service-Specific Terms

Search Engine Optimization (SEO)

1. No Guarantees: SEO results are subject to search engine algorithm changes. We do not guarantee specific rankings.
2. Spam Disclosure: Clients must disclose any previous "black-hat" or spam activity. We are not responsible for site penalties caused by the Client’s past or external actions.

Google Ads & Social Media Advertising

1. Account Ownership: The Client owns the Ad accounts created on their behalf.
2. Performance: While we optimize for the best results, we are not responsible for the performance of the advertisements or platform-side errors once ads are live.

Web Design & Development

1. Revisions: A maximum of three (3) revisions is allowed per project. Significant design changes after initial approval will be billed as extra work..
2. Agency Credit: A "Web Design by Dynamisers Solutions" link will be placed in the footer. A fee applies for the removal of this branding.

7. Legal Jurisdiction

1. New Delhi Jurisdiction: Any and all legal disputes will be settled exclusively within the jurisdiction of the New Delhi courts only.
